How We Would Work

No hidden fees. No black box fund. Just a group of capable people building something better.

I don't want someone to launch a fund.

I don't want nameless GPs in charge.

I'm also not pretending to have it all figured out.

But I hope someone will design a structure where trust, transparency, and smart decision-making can thrive — even at the earliest stage.

Here’s the core idea

This isn’t a top-down syndicate with a “deal leader” who takes a promote.

It’s not a meetup with no capital behind it either.

I hope that what will be formed is a member-led investment group that will:

  • Source deals collaboratively

  • Underwrite transparently

  • Invest selectively — deal-by-deal, opt-in only

  • Build process as we go, not bureaucracy

This group ought to be designed for people who want a real seat at the table — not just a newsletter in their inbox.

How decisions get made

I propose we form a Standing Credit Committee — a small, rotating team of trusted members empowered to evaluate deals on behalf of the group. Think of them like a fire station: always staffed, but not always active. When a deal enters the pipeline, they wake up.

Key functions:

  • Review underwriting

  • Recommend or reject deals

  • Ensure alignment on structure, risk, and clarity

🛠️ Members can still propose or lead deals. But no one pushes something through without scrutiny.

Who decides what?

Role

What it handles

Member (me & you)

Pledges dollars to particular investment (outlined in a Parameter Sheet), perform Diligence on deals, and vote on each deal, with an investment occurring if voting thresholds are met.

Deal Lead

Proposes the deal. Coordinates diligence. Gets no fees — just ownership.

Credit Committee

Filters and approves deals for group presentation.

Strategy Groups

Optional working groups to develop areas like impact, underwriting standards, sourcing.

I'd like a someone to build no one needs to be the sole value creator — and where smart folks can plug in where they’re best.

Still in motion, by design

I'm publishing this openly because I want feedback — and collaborators.

If you’re reading this and thinking “I’d tweak that,” good! I need your brain in the room.

The structure will evolve. But I think the foundation is set:

  1. Transparent.

  2. Member-led.

  3. Built for people who know investing should be smarter than the status-quo.
